Advertising Space Lease Agreement

PUNICODEX Advertising Program

1. Definitions

"Lessor" / "PUNICODEX"
PUNICODEX (Hekaverse), the operator of the PUNICODEX website and its advertising program.
"Lessee" / "Advertiser"
The individual or entity leasing advertising space on a PUNICODEX temple page.
"Temple Page"
An individual landing page within the PUNICODEX network (e.g., /sites/zeus/, /sites/chaos/, /sites/apollo/).
"Slot"
A designated advertising position on a Temple Page. Each Temple Page contains 13 individual Slots (5 Banners and 8 Boxes) plus 1 Full-Page Takeover Slot.
"Creative"
The image(s), destination link, heading, subheading and any other material the Advertiser supplies for display in a Slot.
"Lease Period"
The duration of the advertising lease, either Monthly (1 month) or Yearly (12 months). A "Billing Period" is the single month (Monthly lease) or twelve months (Yearly lease) covered by one payment.
"Page Views"
The number of times a Temple Page is loaded by human visitors within a calendar month, measured by PUNICODEX's first-party analytics beacon. Known bots, crawlers, uptime probes and automated scripts are filtered out, and repeat loads by the same visitor within a 30-minute window are counted once.
"Rental Tier"
The editorial pricing band of a Temple Page (SSS, S, A, B or C), assigned under §3.1. Rental Tier determines the Slot Base Prices.
"Traffic Band"
The measured-traffic multiplier band of a Temple Page (Base, Growth, Established, Popular or Viral), determined under §3.3. Traffic Band determines the multiplier applied to Slot Base Prices at booking and renewal.
"Slot Base Price"
The published monthly price of a Slot before the Traffic Band multiplier. Every Slot Base Price of every Temple Page is displayed on that Temple Page's booking interface and derives mechanically from its Rental Tier under §3.1.

2. Lease Terms

2.1 Monthly Lease

All leases are month-to-month unless a Yearly lease is selected. Monthly leases automatically renew on the same calendar date each month unless cancelled by either party with at least 7 days written notice prior to the renewal date.

2.2 Yearly Lease

A Yearly lease provides a 10% discount off the aggregated monthly price for the selected Slot(s). The price is locked for the entire 12-month duration — even if the Temple Page enters a higher Traffic Band or demand increases, the Lessee pays the original rate until the yearly term ends. Yearly leases may be transferred to another Slot or Temple Page with 14 days notice, subject to availability. Yearly leases are refundable on a pro-rata basis in the circumstances set out in §5.3 and §7.2 (for example, if PUNICODEX terminates without cause).

2.3 Renewal & Rate Lock

Upon renewal, the Lessee's rate is recalculated under the formula in §3.3: the Slot Base Price current at renewal, multiplied by the Traffic Band the Temple Page actually sits in on the renewal date. No other adjustment is applied. Mid-cycle price changes are never charged.

Example: You book Slot 01 (the top Banner) on a Tier B Temple Page at its published Slot Base Price of $150/month while the page is in the Base Traffic Band (1.0×). Three months later the page's trailing traffic reaches the Growth Band (1.5×). Your next renewal is $225/month ($150 × 1.5). You are never charged mid-cycle, and the only inputs that can change your renewal price are the published Slot Base Price and the page's measured Traffic Band.

3. Pricing Structure

3.1 Rental Tiers

Every Temple Page is assigned a Rental Tier based on editorial significance, measured audience engagement, and content depth. The Rental Tier sets the Slot Base Prices through a fixed ladder: the 13 individual Slot Base Prices on a Temple Page descend with scroll depth (the top Banner is the most expensive; the lowest Boxes the least) and always sum to the "Individual Spots (13)" total below. The Slot Base Price of every Slot is published on the Temple Page's booking interface before any payment is taken, and each Temple Page displays its current Rental Tier.

All prices are in USD. Payment is processed via Stripe. A 2.9% + $0.30 processing fee is added at checkout. Yearly leases receive a 10% discount off the aggregated monthly rate.

One formula for every temple. Rental Tier assignment is based on editorial and audience criteria only. It never takes into account the existence, identity, reputation or market value of any third-party trade mark or brand, and the same ladder, the same multipliers and the same formula apply to every Temple Page without exception — see §10.3.

3.2 Slot Layout & Creative Specs

Each Temple Page is divided into 13 individual placements plus one Full-Page Takeover bundle. The layout uses two standard creative formats so advertisers can reuse existing assets.

3.3 Traffic Bands & the Pricing Formula

PUNICODEX pricing is mechanical, not discretionary. The monthly price of a Slot is always:

where the Traffic Band is determined by the Temple Page's trailing three-month average of Page Views, measured under the definition in §1 and published on the Temple Page's dashboard.

A Traffic Band change applies only at the next renewal after the change is measured — never mid-cycle, and never retroactively. The two systems combine multiplicatively and completely: a Tier SSS Slot 01 (Slot Base Price $750) on a page in the Viral Traffic Band prices at $4,500/month ($750 × 6.0); the same Slot in the Base Traffic Band prices at $750/month ($750 × 1.0). There is no other pricing input, and no Temple Page is exempt from the formula.

3.4 Notice of Price Change

PUNICODEX will notify all active Lessees on an affected Temple Page at least 30 days before any Slot Base Price change takes effect at renewal. Lessees may cancel their lease without penalty before the new rate applies. Traffic Band multiplier changes follow the page's published traffic automatically under §3.3 and are visible on the Temple Page dashboard at all times. Price decreases take effect at the next renewal and benefit all Lessees.

4. Content Standards & Prohibited Use

All advertising content must comply with the following standards. PUNICODEX reserves the right to reject or remove any creative that violates these guidelines.

All creative is reviewed within 24–48 hours of submission. PUNICODEX may approve, reject, or request modifications. The Lessee will be notified via email. If rejected, the Lessee may submit revised creative at no additional cost. The lease period begins upon creative approval, not at the time of payment.

4.4 No Third-Party Brand Association

Creative must not state or imply any affiliation with, sponsorship by, endorsement by, or licence from any third party — including any brand or trade mark owner whose name resembles the mythological name featured on the Temple Page — unless the Advertiser holds documented written permission from that third party and supplies it to PUNICODEX on request. Creative must not reproduce any third-party trade mark, logo or trade dress. This obligation survives termination of the lease.

5. Advertiser Warranties

By submitting Creative and entering this Agreement, the Advertiser warrants (and continues to warrant for the duration of the Lease Period) that:

PUNICODEX's review of Creative under §4.3 is a standards check only; it is not legal clearance, and approval does not transfer or diminish any warranty or liability of the Advertiser.

6. Payment Terms

6.1 Billing

All charges are billed in advance. Monthly leases are billed on the same calendar date each month. Yearly leases are billed in full at the start of the Lease Period.

6.2 Failed Payment

If a payment fails, the Lessee has 7 calendar days to resolve the issue; PUNICODEX will notify the Lessee before taking any action. After 7 days without resolution, the Slot becomes available for other advertisers. Amounts already paid for time elapsed are not refundable; unused prepaid whole months on a Yearly lease are refunded pro-rata where the failure resulted from a billing error on our side.

6.3 Refunds

Monthly leases: cancellable at any time; the Slot remains active until the end of the current Billing Period and no pro-rata refund is owed for the elapsed period.

Yearly leases: cancellable at any time. On cancellation by the Lessee for convenience, unused prepaid whole months are converted to advertising credit usable on any Temple Page for 12 months. A pro-rata refund of unused prepaid whole months is issued as of right where:

Nothing in this section limits any refund right the Lessee has under the Australian Consumer Law or other applicable law (§12.1).

6.4 Price Adjustments

PUNICODEX may adjust Slot Base Prices for new bookings with 30 days notice posted on this page. Adjustments are made at the whole-ladder level — a full Rental Tier at a time, applied uniformly to every Temple Page in that tier — so no temple's price can ever move for reasons unique to its name. Existing leases are not affected by Slot Base Price changes unless and until the Lessee renews at the new rate.

7. Termination

7.1 By Lessee

The Lessee may cancel their lease at any time through their temple dashboard or by emailing support@punicodex.com. Cancellation takes effect at the end of the current Billing Period; refunds and credits follow §6.3.

7.2 By Lessor for Convenience

PUNICODEX may end a lease for reasons other than breach with at least 30 days written notice. In that case the Lessee receives a pro-rata refund of all prepaid amounts covering time after the termination takes effect (including unused whole months of a Yearly lease).

7.3 By Lessor for Cause

PUNICODEX may terminate a lease immediately if the Lessee commits a material breach that is incapable of remedy — including fraud, illegal content, malware, or intellectual-property infringement — or fails to remedy any other material breach within 7 days of written notice. On termination for the Lessee's material breach, amounts covering the remainder of the current calendar month are forfeited; unused prepaid whole months beyond it are refunded, less any documented loss reasonably incurred by PUNICODEX as a direct result of the breach.

7.4 Effect of Termination

Upon termination, the Lessee's creative is removed from the Temple Page within 24 hours. The Lessee retains access to their temple dashboard for 90 days to download performance reports.

8. Analytics & Performance

Each Lessee receives access to a private temple dashboard showing:

PUNICODEX measures these figures through a first-party analytics beacon and reports them only as aggregate counts — we do not build visitor profiles, do not run cross-site tracking, and do not sell data. Visitor IP addresses are processed transiently by our hosting and security providers for content delivery, rate-limiting and abuse prevention, and are not written to our analytics datasets. Metrics are provided as-is and PUNICODEX does not guarantee specific performance outcomes, conversion rates, or audience demographics.

9. Intellectual Property

The Lessee retains all rights to their creative content. By submitting creative, the Lessee grants PUNICODEX a limited, non-exclusive, revocable licence to display the creative on the booked Slot(s) for the duration of the Lease Period. That licence ends when the creative is removed under §7.4.

PUNICODEX retains all rights to its branding, temple designs, code, and domain names, subject to applicable law and the rights of third parties. Lessees may not reproduce, scrape, or resell access to PUNICODEX temple pages.

10. Mythological Names & Third-Party Trade Marks

10.1 What a Temple Page is

Every Temple Page celebrates a figure of ancient mythology, religion or literature whose name has been recorded for centuries — in many cases millennia — and restored by PUNICODEX to its original written (Unicode) form as a work of scholarship, art and cultural preservation. Temple names are drawn from public-domain mythology, not from modern commerce.

10.2 No affiliation or endorsement

PUNICODEX is not affiliated with, sponsored by, endorsed by, licensed by, or otherwise connected to any third-party brand or trade mark owner — including any brand whose name resembles a mythological name featured on a Temple Page. Where a resemblance exists, it exists because the brand drew its name from the same mythology, not the reverse.

The only exception is where a third party has itself entered an advertising lease under this Agreement: in that case the relationship is limited to that lease for its duration and implies no wider affiliation, endorsement, sponsorship or licence in either direction.

10.3 Pricing independence

The price of every Slot derives solely from the mechanical formula in §3 (Rental Tier ladder × Traffic Band multiplier), whose inputs are editorial investment and measured audience traffic. Pricing never takes into account the identity, reputation or market value of any third-party trade mark. The identical formula applies to every Temple Page, whether or not its name resembles any brand.

10.4 Advertiser responsibility

The Advertiser is responsible for ensuring that its own use of a Temple Page — including its Creative, landing pages and the association it creates with the temple's name — complies with trade mark, passing-off and consumer law in every jurisdiction where it trades. The Advertiser must not use a Temple Page to imply association with any third-party brand (§4.4).

10.5 Notice and review

Rights holders with a good-faith concern about any Temple Page or Creative may contact support@punicodex.com with particulars. PUNICODEX reviews every substantiated concern and will remove or adjust content where the law requires it.

11. Indemnity

The Advertiser indemnifies PUNICODEX, its officers and contractors against any claim, action, loss, damage, liability and expense (including reasonable legal costs) brought by a third party arising from: (a) the Creative; (b) the Advertiser's products, services or landing pages; (c) the Advertiser's breach of the warranties in §5 or the content standards in §4; or (d) any allegation that the Creative infringes a third party's intellectual-property or other rights.

PUNICODEX will promptly notify the Advertiser of any indemnified claim and will reasonably cooperate at the Advertiser's cost. PUNICODEX may assume control of the defence of a claim with counsel of its choice, at its own cost, without limiting the indemnity. Neither party may settle a claim in a way that admits liability on the other without the other's written consent (not to be unreasonably withheld).

The indemnity is reduced proportionally to the extent the claim or loss was caused by PUNICODEX's own breach of this Agreement, negligence, or unlawful act.

12. Limitation of Liability

12.1 Statutory rights preserved

Nothing in this Agreement excludes, restricts or modifies any guarantee, condition, warranty, right or remedy the Lessee has under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law, to the extent that guarantee, condition, warranty, right or remedy cannot lawfully be excluded, restricted or modified. Where the Lessee acquires the services as a "consumer" under that Law, the consumer guarantees apply — including that services will be rendered with due care and skill.

12.2 Permitted limitation

Where the law permits limitation of liability for breach of a consumer guarantee in respect of services not of a kind ordinarily acquired for personal, domestic or household use, PUNICODEX's liability for such a breach is limited, at PUNICODEX's option, to supplying the services again or paying the cost of having the services supplied again.

12.3 General cap

Subject to §12.1 and to the maximum extent permitted by law, PUNICODEX's total aggregate liability to any Lessee under or in connection with this Agreement shall not exceed the amounts paid by that Lessee under this Agreement in the 3 months preceding the event giving rise to the claim (or, for a Yearly lease in its first 3 months, the amounts paid under the lease to date). This cap does not apply to liability that cannot lawfully be limited, and does not limit any amount payable by the Lessee under the indemnity in §11.

Subject to §12.1 and to the maximum extent permitted by law, PUNICODEX is not liable for:

13. Dispute Resolution

Any dispute arising from this Agreement shall first be addressed through good-faith negotiation between the parties for at least 30 days from written notice of the dispute.

If unresolved: (a) either party may bring a claim of AUD $25,000 or less in the NSW Civil and Administrative Tribunal (where it has jurisdiction) or any court of competent jurisdiction; and (b) a claim exceeding AUD $25,000 shall be submitted to binding arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) under its Rules, seated in Sydney, before one arbitrator, in English. Each party bears its own costs unless the tribunal or court orders otherwise.

Nothing in this section prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction, including to protect intellectual-property or confidential information.

14. Modifications to this Agreement

PUNICODEX may update this Agreement from time to time. Material changes (for example, to the pricing structure, refund policy or content standards) will be notified by email to active Lessees at least 30 days before taking effect, and will apply only from the Lessee's first renewal after that notice period — never to a Billing Period already paid for. During the notice window the Lessee may cancel without penalty; if a material change is to the Lessee's detriment, a cancelling Yearly Lessee additionally receives a pro-rata refund of unused prepaid whole months. 15. General

15.1 Severability. If any provision of this Agreement is or becomes void, voidable, illegal or unenforceable — including under the unfair contract terms regime of the Australian Consumer Law — it is to be read down to the minimum extent necessary to make it enforceable, and if it cannot be read down it is severed. The remainder of the Agreement continues in full force.

15.2 Entire agreement. This Agreement, together with the booking record and the Privacy Policy, is the entire agreement between the parties about its subject and supersedes all prior discussions and representations.

15.3 Assignment. The Lessee may not assign this Agreement without PUNICODEX's written consent (not to be unreasonably withheld). PUNICODEX may assign to a successor of the PUNICODEX platform with 30 days notice, in which case the Lessee may cancel under §7.1.

15.4 Waiver. A failure or delay to exercise a right is not a waiver of it.

15.5 Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control. If such an event prevents display of the Creative for more than 30 consecutive days, either party may cancel and the Lessee receives a pro-rata refund of prepaid amounts covering the affected period.

15.6 Notices. Notices under this Agreement are given by email — to the Lessee at the address on the booking, and to PUNICODEX at support@punicodex.com — and are taken to be received on the business day after sending.

15.7 Survival. §§4.4, 5, 9, 10, 11, 12, 13, 15 and 16 survive termination.

16. Governing Law

This Agreement is governed by the laws of New South Wales, Australia, without regard to conflict of law principles. Subject to §13, the parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

17. Acceptance

Before completing a booking, every Advertiser must explicitly agree to this Advertising Space Lease Agreement. By ticking the acceptance checkbox in the booking modal, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth herein.
